1. Acceptance of Terms

By accessing or using OpenGuardrails services, software, or website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Service

OpenGuardrails provides open-source runtime security solutions for AI agents, including but not limited to:

• AI agent security monitoring and protection
• Detection of prompt injection, data leakage, and unsafe behaviors
• Security analysis and threat detection services
• Documentation, integrations, and related tools

We offer different service tiers: Personal (free), Business, and Enterprise editions.

3. Data Privacy and Security

3.1 Our Commitment

OpenGuardrails does not save, use, sell, or train AI models on your personal data or business secrets. We are committed to protecting your privacy and maintaining the confidentiality of your information.

3.2 Data Processing

All data processed through our Services undergoes sanitization:

• Local sanitization occurs on your system before data transmission
• Server-side sanitization occurs before any processing
• Only anonymized security behavior patterns are retained for security model optimization

3.3 What We Collect

We only collect information necessary for security analysis and service operation:

• Anonymized security behavior patterns
• Technical metadata required for service operation
• Account information (email, company name for enterprise users)

Personal information is not useful for our security-focused business and is not collected beyond what is strictly necessary for service provision.

4. User Responsibilities

4.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4.2 Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to circumvent security measures or access controls
• Interfere with or disrupt the Services or servers
• Use automated means to access the Services without permission
• Reverse engineer, decompile, or disassemble proprietary components (except as permitted by open-source licenses)
• Resell or redistribute the Services without authorization

5. Open Source License

OpenGuardrails core software is licensed under the Apache License 2.0. Open-source components are subject to their respective licenses. Enterprise features and services may be subject to additional commercial terms.

You may use, modify, and distribute open-source components in accordance with the Apache 2.0 license terms. See our GitHub repository for license details.

6. Service Tiers and Payment

6.1 Personal Edition

The Personal edition is provided free of charge for individual use.

6.2 Business and Enterprise Editions

Paid tiers are subject to:

• Payment of applicable fees
• Additional terms in service agreements
• Service level agreements (SLAs) as specified

6.3 Refunds

Refund policies are detailed in your service agreement. Generally, we offer refunds within 30 days of purchase for annual subscriptions if you are not satisfied with the service.

7. Service Availability

We strive to provide reliable services, but we do not guarantee:

• Uninterrupted or error-free service
• Complete security or prevention of all threats
• That the Services will meet all your requirements

We reserve the right to modify, suspend, or discontinue any aspect of the Services with reasonable notice.

8. Intellectual Property

The OpenGuardrails name, logo, and trademarks are owned by OpenGuardrails Inc. Open-source software components are licensed under Apache 2.0. Documentation, website content, and proprietary features remain the intellectual property of OpenGuardrails Inc.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENGUARDRAILS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless OpenGuardrails Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights

11. Termination

We may terminate or suspend your access to the Services:

• For violation of these Terms
• For illegal or fraudulent activity
• At our discretion with reasonable notice

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved through:

• Good faith negotiation first
• Binding arbitration in Santa Clara County, California if negotiation fails
• Small claims court for qualifying claims

13. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to US embargo or designated as a "terrorist supporting" country.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Services. Continued use after changes constitutes acceptance of the modified Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms constitute the entire agreement between you and OpenGuardrails regarding the Services.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

15.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or successor.
